1. Scope of the Terms
These Terms of Use ("Terms") govern your access to and use of Naya as well as other services provided by Calidius to individuals. They also apply to all related software applications, technologies, and websites (collectively, the "Services"), whether you use our Services personally and non-commercially or in another context. By accepting these Terms or accessing our Services, you enter into a contractual agreement with Calidius.
We also invite you to read our Privacy Policy, an essential document describing our practices for collecting and using personal data, even though it is not formally part of these Terms.
2. About Calidius
Calidius is a coaching firm that also includes a studio dedicated to the creation of artificial consciousness systems. Our ambition is to ensure that generative artificial intelligence is an embodied resource, useful to all of humanity. For more information about our studio, visit Calidius Studio.

3. Registration and Access
Minimum Age: To access our Services, you must be at least 18 years old or have reached the legal minimum age in your country to consent to using the Services. If you are under 18, parental or legal guardian consent is required: we invite them to review these Terms with you.
Registration: Registering for our Services requires you to provide accurate, up-to-date, and complete information. You must not share your login details with third parties or give access to your account to others. You remain responsible for all actions taken via your account. If you open an account or use the Services on behalf of another person or entity, you must have the authority to accept these Terms on their behalf.
4. Use of Services
What is permitted: You may access and use our Services in strict accordance with these Terms and all applicable laws. Use of the Services also implies compliance with specific Service conditions and the policies cited in this document. Since Naya is based on OpenAI models, you agree to comply with OpenAI Usage Policies and Terms of Use, as well as French and European legislation (DSA, GDPR, LCEN, copyright law).
What is prohibited: You must not use our Services for illegal, harmful, or abusive purposes, including (but not limited to):

Using the Services in violation of others’ rights;

Misusing or abusing reporting or complaint procedures (e.g., false reports);

Modifying, copying, renting, selling, or distributing any part of the Services;

Attempting or helping a third party to reverse-engineer, decompile, or access the source code or internal components of the Services (unless required by law);

Automatically or programmatically extracting data or Output Data from the Services;

Presenting Output Data as human-made when it is not;

Disrupting or interfering with the operation of the Services, or attempting to bypass any limits or security/risk mitigation measures deployed on our Services;

Exploiting Output Data to develop competing models or services to Naya.
Organization-linked accounts: If you create an account using an email address belonging to an organization (e.g., your employer), this account may be integrated into the organization’s professional account. We will inform you of this integration to facilitate, if needed, the transfer of your account, unless your organization has already notified you of such control. The organization’s administrator may then manage the account, access related Content, and possibly restrict or suspend your access.
Third-party services: Our Services may use third-party software, products, or services ("Third-Party Services"). For example, some features (web browsing, enrichment) may include Output Data from these third parties. Their use is subject to their own conditions, for which Calidius is not responsible.
Feedback: Your feedback and suggestions about our Services may be used freely to develop, improve, or maintain our offerings, without financial compensation.
Non-affiliation with OpenAI: Calidius uses OpenAI technology but is in no way affiliated with, endorsed by, or sponsored by OpenAI.
5. Content
Your content: You may provide Input Data to the Services and receive Output Data. Together, these form the "Content." You are solely responsible for Content generated or transmitted and guarantee that it complies with all laws and these Terms. You affirm you have all necessary rights, licenses, or permissions to submit Input Data.
Ownership: Unless otherwise stated, you retain full ownership of your Input Data and become the owner of Output Data generated by Naya for your use (as permitted by law). We assign you any rights we may have in such Output Data.
Similarity: Due to the nature of AI services, Output Data produced may not be unique, and other users may receive similar results. The assignment of rights only applies to Output Data unique to you, not to data produced for others or from Third-Party Services.
Moderation: OpenAI uses automated and human systems to detect content not compliant with its policies. OpenAI may thus limit access to certain features, restrict, suspend, or delete content or accounts in case of non-compliance. More info is available on their moderation page.
Opting out of training: You can choose not to have your data used by OpenAI to train its models by adjusting your OpenAI account settings, learn more here.
Accuracy: Artificial intelligence and machine learning evolve rapidly, and Output Data may sometimes be inaccurate, incomplete, or not faithfully reflect reality. You are responsible for evaluating its relevance before using it, especially for any important decision (legal, medical, financial, etc.).

Never consider Output Data as your only reliable source or as a substitute for professional advice;

Always verify the accuracy and relevance of Output Data before sharing or using it;

Never use Output Data to make a legal or material decision about someone (employment, credit, housing, insurance, education, health…);

Calidius does not endorse Output Data: some answers may be incorrect, incomplete, or not reflect our viewpoint.
6. Paid Subscriptions
Subscriptions: Some Calidius Services require a paid subscription, unlocking additional benefits or features. The exact nature of these benefits varies by Service and will be specified before you subscribe.
Fees: Applicable rates, including subscription fees, are communicated before any purchase or commitment.
Billing: When you subscribe to a paid plan or make a purchase, you must provide accurate and complete billing information, including a valid payment method. Payment for subscriptions is automatically charged at each renewal date, until canceled. In case of payment failure, Calidius may suspend or downgrade your account.
Withdrawal period: You have a right to cancel without cause within 14 days of purchase, with a prorated refund for the unused period. To cancel, use the Client Portal ("Cancel subscription").
Cancellation: After the withdrawal period, you can terminate your subscription at any time. You will no longer be billed after cancellation: access to benefits remains active until the already paid expiration date. Unless otherwise specified, no refunds are given for the period between cancellation and the end of the current subscription.
Price changes: Calidius reserves the right to adjust its rates: any increase will be notified 30 days in advance, allowing you to cancel if you do not accept the change.
7. Suspension and Termination
Your rights: You can stop using our Services at any time, close your account, or cancel your subscription (via the Client Portal).
Withdrawal right (EEA): If you live in the European Economic Area, you can close your account and cancel your subscription within 14 days of accepting these Terms.
Calidius rights: Calidius may suspend, restrict, or close your account if:

You breach these Terms;

The law requires it;

Your use presents a risk or causes harm to Calidius, other users, or third parties;

Your account has been inactive for more than a year (except paid subscriptions).
Notification: Unless impossible or with good cause, you will be notified in advance of termination so you can export your data. If there are risks to Calidius, security, or legal requirements, this notification may be omitted.
Appeals: If you feel a suspension or termination is unfair, contact our Support via this form.
8. Calidius Commitments to Clients
Service quality: We strive to provide Services with professional competence and diligence. We do not guarantee perpetual availability of Services nor their maintenance in their current form.
Liability: Calidius is not liable for losses or damages except in case of breach of its obligations or reasonably foreseeable harm at the time of acceptance of these Terms. We disclaim liability for events beyond our reasonable control. Your legal protections are not excluded or limited when prohibited by law.
Legal rights: Your statutory rights are not restricted or excluded by these Terms.
9. Dispute Resolution
Concerns: Before any legal action, we encourage you to contact us to seek an amicable solution via our contact form.
Jurisdiction: Failing agreement, Paris courts (France) shall have jurisdiction.
Out-of-court settlement: European consumers can also use an online dispute resolution body via the EU Commission ODR platform.
10. Intellectual Property Complaints
If you believe your intellectual property rights have been infringed, you may notify OpenAI via this form or the address below. OpenAI may remove the disputed content or disable the account of a repeat offender.

For any claim, provide:

Your physical or electronic signature;

A precise description of the allegedly infringed work;

The location of the content on the site concerned;

Your contact information (address, phone, email);

A statement of good faith;

A sworn statement of the accuracy of the information and your authority to act.
11. General Provisions
Assignment: You may not assign or transfer your rights or obligations under these Terms without our consent. Calidius may transfer its rights and obligations to any affiliate, subsidiary, or successor company, without affecting your rights as a consumer. If you disagree, you may stop using our Services.
Modifications: Our Services and Terms may change. We may update these Terms, for example in case of legislative, regulatory, security, technical, or organizational change. You will be notified at least 30 days in advance of any major change, by email or internal notification. Changes are only effective prospectively. If you refuse them, you must stop using our Services.
Delay in enforcement: A delay in enforcing any provision does not constitute a permanent waiver. If any clause is found invalid or unenforceable, the other provisions remain in force.
Export control: You agree to comply with laws on export control, sanctions, and trade applicable to our Services. The Services may not be used in, for, or for the benefit of countries, entities, or persons subject to legal restrictions. They may not be used for purposes requiring specific administrative authorization.
Governing law: These Terms are governed by the laws of the country where you reside. For business uses, French law applies.
Contract breach (UK): If you live in the UK, certain actions by Calidius may give rise to claims for breach of contract.
12. Business and Professional Use
Professional use: If you use our Services in a business or professional context, the following terms override any conflicting terms.
Limitation of liability: Calidius, its subsidiaries, partners, licensors, and suppliers shall not be liable for indirect, incidental, special, or consequential damages (loss of profits, goodwill, use, data, etc.). Calidius’s total liability is capped at the higher of: the amount paid for the Service in question during the 12 months preceding the event, or one hundred euros (€100). This limit applies as allowed by your country’s law.
Indemnification: As a business or organization, you agree to indemnify Calidius, its affiliates, and staff for any costs, losses, liabilities, and expenses (including attorney’s fees) resulting from third-party claims related to your use of the Services or breach of the Terms.
Applicable law (business): Business use is subject to French law. Any dispute is settled by the Paris courts (France).
